Terms and Conditions
Effective date: 02 August 2026
These Terms and Conditions apply to all quotations, orders, purchases and services provided by Kapari.shop through our website, social media platforms, email, WhatsApp or any other communication channel.
Kapari.shop is a concierge apparel and merchandise design and supply service based in Gaborone, Botswana.
By requesting a quotation, approving a design, paying a deposit or placing an order with Kapari.shop, you confirm that you have read, understood and agreed to these Terms and Conditions.
1. Our Services
Kapari.shop provides services that may include:
- Apparel and merchandise sourcing;
- Graphic and merchandise design;
- Artwork preparation;
- Printing and branding;
- Embroidery;
- Sublimation;
- Direct-to-Film printing;
- Vinyl printing;
- Custom product production;
- Order coordination; and
- Collection or delivery of completed products.
The exact products, services, quantities, specifications and prices applicable to an order will be stated in the approved quotation or invoice.
2. Quotations
All quotations are prepared according to the information supplied by the customer, including quantities, garment types, merchandise items, branding methods, colours, sizes and delivery requirements.
Unless otherwise stated, quotations are valid for 14 days from the date of issue.
Prices may change after the quotation validity period due to changes in supplier prices, exchange rates, product availability, production costs or other factors outside our control.
A quotation does not reserve products, production capacity or delivery dates until the required deposit has been received.
Any changes to the original specifications may result in a revised quotation.
3. Order Confirmation
An order is considered confirmed once:
- The customer has approved the quotation;
- The customer has supplied the required information, artwork and specifications;
- The customer has approved the relevant design or artwork; and
- Kapari.shop has received the required 50% deposit.
Kapari.shop is not required to begin design, sourcing, procurement or production work before these requirements have been met.
4. Deposit and Payment
A 50% deposit of the total quoted amount is required before any work begins.
Work includes, but is not limited to:
- Design development;
- Artwork preparation;
- Product sourcing;
- Garment procurement;
- Supplier bookings;
- Sample preparation; and
- Production.
The remaining 50% balance must be paid in full upon delivery or collection of the completed order.
Products will not be released to the customer until the full outstanding amount has been paid, unless alternative written arrangements have been approved by Kapari.shop.
For orders delivered by courier or to locations outside Gaborone, Kapari.shop may require the outstanding balance to be paid before dispatch.
Payments must be made using the payment details stated on the quotation or invoice. The customer is responsible for using the correct payment reference and providing proof of payment when requested.
Any bank charges or transaction fees relating to the payment are the customer's responsibility.
5. Deposits and Cancellation
The 50% deposit allows Kapari.shop to allocate creative time, purchase products, secure supplier services and begin work on the order.
A deposit may become non-refundable once design, sourcing, procurement or production work has started.
Where an order is cancelled before work begins, Kapari.shop may refund the deposit after deducting any reasonable administrative, transaction or consultation costs already incurred.
Where work has begun, Kapari.shop may deduct the value of completed work, sourced products, supplier charges and other costs incurred before considering any refund.
Custom-made, printed, embroidered, branded or specially sourced products cannot ordinarily be cancelled once production has started.
Nothing in this section limits any rights the customer may have under applicable Botswana law.
6. Design Services and Revisions
Where design services are included, the quotation will specify the design work and number of revisions covered by the quoted price.
Unless otherwise stated, a design fee includes up to two reasonable rounds of revisions.
Additional revisions, major changes to an approved concept, alternative design directions or changes requested after final approval may attract an additional fee.
A revision means a reasonable adjustment to the selected design. It does not include the creation of an entirely new concept.
Design work will only begin after the required deposit and design information have been received.
7. Customer-Supplied Artwork
Customers may provide their own logos, photographs, illustrations, wording or completed artwork.
The customer is responsible for ensuring that supplied files are:
- Accurate;
- Complete;
- Of sufficient quality and resolution;
- Suitable for the selected printing or branding method; and
- Legally authorised for use.
Kapari.shop may recommend that artwork be redrawn, converted, cleaned up or reformatted before production. Additional artwork preparation fees may apply.
Kapari.shop will not be responsible for poor reproduction caused by low-resolution, incomplete, damaged or unsuitable files supplied by the customer where the limitations were communicated before production.
8. Artwork and Design Approval
The customer must carefully review all artwork, proofs, mock-ups and specifications before approving production.
The customer is responsible for checking:
- Spelling;
- Grammar;
- Names;
- Telephone numbers;
- Dates;
- Sizes;
- Colours;
- Logo placement;
- Quantities;
- Product selection; and
- All other design details.
Approval given by email, WhatsApp, electronic message or any other written communication will be treated as final approval.
Once approval has been given, Kapari.shop will not be responsible for errors that appeared in the approved artwork or specifications.
Changes requested after approval may result in additional charges and changes to the production or delivery timeline.
9. Colours and Product Appearance
Kapari.shop makes reasonable efforts to represent colours and products accurately.
However, colours displayed on phones, computers and other screens may differ from the final printed or manufactured product.
Minor colour variations may also occur between:
- Digital mock-ups and physical products;
- Different printing methods;
- Different garment materials;
- Different production batches;
- Different suppliers; and
- Repeated orders placed at different times.
Reasonable variations that are normal within the relevant printing, textile or manufacturing process will not automatically be considered defects.
Where an exact colour match is important, the customer should request a physical sample or colour test before approving full production. Sample costs may apply.
10. Product Availability and Substitutions
Products displayed or quoted are subject to supplier availability.
Where a selected garment, colour, size or merchandise item becomes unavailable, Kapari.shop will contact the customer and may recommend a reasonably comparable alternative.
No substitution that materially changes the order will be made without the customer's approval.
A substitution may affect the price and production timeline.
11. Garment Sizes
Garment sizing may vary between brands, suppliers, styles and manufacturers.
Customers are responsible for reviewing the relevant size guide and confirming the required sizes before placing an order.
Kapari.shop will not be responsible where the supplied size matches the customer's approved order but does not fit the intended wearer.
Custom-branded garments cannot ordinarily be exchanged because the customer selected an incorrect size.
12. Samples
A digital mock-up is intended to demonstrate the proposed layout and placement of a design. It is not always an exact representation of the final product.
Physical samples may be requested before bulk production and may attract separate design, product, printing, delivery or setup charges.
Approval of a physical sample authorises Kapari.shop to proceed with production based on that sample, subject to reasonable manufacturing variations.
13. Customer-Supplied Garments and Products
Kapari.shop may agree to print, embroider or brand garments and products supplied by the customer.
Customer-supplied items are accepted at the customer's risk.
Printing and branding processes may occasionally result in damage caused by hidden defects, unsuitable materials, coatings, seams or previous treatments.
Kapari.shop will exercise reasonable care but will not be responsible for replacing customer-supplied items unless the loss or damage resulted directly from our negligence.
Customers are encouraged to provide extra units where possible to allow for production testing or reasonable spoilage.
14. Production Timelines
Production timelines are estimates unless Kapari.shop has expressly confirmed a guaranteed date in writing.
The production period begins after:
- The deposit has cleared;
- All required products and information have been received;
- Final artwork has been approved; and
- Any required samples have been approved.
Delays in supplying information, approving designs or making payments may extend the completion date.
Kapari.shop will make reasonable efforts to meet agreed timelines and will communicate material delays as soon as reasonably possible.
15. Urgent Orders
Urgent orders are subject to production capacity, supplier availability and written acceptance by Kapari.shop.
An urgent production fee may apply.
Acceptance of an urgent order does not remove the customer's responsibility to provide prompt approvals, information and payment.
Kapari.shop cannot guarantee an urgent deadline where delays are caused by the customer, suppliers, couriers or circumstances outside our reasonable control.
16. Delivery and Collection
Delivery charges are not included unless specifically stated in the quotation.
The customer is responsible for providing a complete and accurate delivery address, contact name and telephone number.
Kapari.shop will not be responsible for delays or additional costs caused by incorrect or incomplete delivery information.
The customer or an authorised representative must inspect the order upon delivery or collection and, where applicable, sign the delivery note.
Risk in the products passes to the customer once the order has been delivered, collected or handed to the customer's nominated courier.
Delivery dates provided by third-party courier services are estimates and may be affected by circumstances outside Kapari.shop's control.
17. Inspection of Orders
Customers should inspect completed orders as soon as reasonably possible after delivery or collection.
Any visible shortages, incorrect items or apparent production defects should be reported to Kapari.shop in writing within seven days of delivery or collection.
The report should include:
- The order or invoice number;
- A clear description of the issue;
- The quantity affected; and
- Clear photographs or videos where applicable.
Reporting within seven days helps Kapari.shop investigate the order promptly. This period does not remove any statutory rights that cannot legally be limited.
18. Returns and Exchanges
Because many Kapari.shop products are custom-designed, specially sourced, printed, embroidered, branded or produced according to customer-approved specifications, they cannot ordinarily be returned or exchanged because the customer:
- Changed their mind;
- Selected the wrong size;
- Supplied incorrect information;
- Approved incorrect artwork;
- No longer requires the order; or
- Does not like an approved design after production.
Unbranded, standard-stock products may only be returned with prior written approval and must be unused, unworn, unwashed and in their original condition and packaging.
Return delivery costs may be the customer's responsibility unless the products are defective, incorrect or otherwise required to be returned at Kapari.shop's cost under applicable law.
19. Defective or Incorrect Products
Kapari.shop will take reasonable steps to ensure that products are supplied according to the approved specifications and are of acceptable quality.
Where a product is confirmed to be defective, materially different from the approved order or unsuitable because of an error by Kapari.shop, we will provide an appropriate remedy in accordance with applicable Botswana law.
Depending on the circumstances, this may include:
- Repairing the affected product;
- Reprinting or replacing the affected product;
- Correcting the service; or
- Providing an appropriate refund.
Kapari.shop must be given a reasonable opportunity to inspect the affected products before a remedy is agreed.
Customers should not use, wash, alter, repair or dispose of disputed products before Kapari.shop has completed its assessment.
20. Care Instructions
The customer is responsible for following any garment or product care instructions supplied with the order.
Printed or branded products may require special care, including washing at recommended temperatures, avoiding harsh chemicals, ironing inside out or avoiding direct ironing over printed areas.
Kapari.shop will not be responsible for damage caused by:
- Incorrect washing;
- Tumble drying where not recommended;
- Bleaching;
- Excessive heat;
- Direct ironing over prints;
- Harsh chemicals;
- Normal wear and tear; or
- Failure to follow care instructions.
21. Intellectual Property
The customer confirms that they own or have permission to use all logos, names, photographs, illustrations, trademarks, slogans and other material supplied to Kapari.shop.
The customer will be responsible for claims arising from the unauthorised use of material they supplied.
Unless otherwise agreed in writing, Kapari.shop retains ownership of:
- Preliminary concepts;
- Unused design directions;
- Working files;
- Production files;
- Design methods; and
- Original creative work produced by Kapari.shop.
Payment for a finished product does not automatically include the transfer of editable source files or full intellectual property ownership.
Where the customer requires editable files, exclusive design ownership or a formal transfer of intellectual property rights, this must be agreed in writing and may attract an additional fee.
22. Unlawful or Inappropriate Content
Kapari.shop reserves the right to decline any order containing material that is unlawful, fraudulent, threatening, defamatory, discriminatory, hateful, obscene or likely to infringe another person's intellectual property rights.
Declining an order does not prevent Kapari.shop from recovering reasonable costs for work already completed or products already sourced.
23. Use of Completed Work
Unless the customer requests confidentiality in writing before production, Kapari.shop may photograph completed products and display them in its portfolio, website, social media pages or marketing materials.
Kapari.shop will not knowingly disclose confidential campaign information or personal details when displaying completed work.
Customers may request that an order not be photographed or publicly displayed.
24. Uncollected Orders
Customers will be notified when their orders are ready for collection.
Orders should be collected within 30 days of notification unless alternative arrangements have been made.
Kapari.shop may charge reasonable storage fees for orders that remain uncollected after 30 days.
Orders that remain uncollected for an extended period may be disposed of after reasonable written notice to the customer, subject to applicable law. Disposal does not cancel any outstanding payment obligation.
25. Limitation of Liability
To the extent permitted by law, Kapari.shop will not be responsible for indirect, incidental or consequential losses arising from an order, including loss of profit, loss of opportunity, reputational loss or losses resulting from a delayed event or campaign.
Where Kapari.shop is legally responsible for a direct loss, its liability will generally be limited to the value of the affected products or services.
Nothing in these Terms and Conditions excludes or limits liability where doing so would be unlawful.
26. Events Outside Our Control
Kapari.shop will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control.
These circumstances may include:
- Supplier shortages;
- Import or customs delays;
- Courier disruptions;
- Power or internet interruptions;
- Equipment breakdowns;
- Industrial action;
- Severe weather;
- Fire;
- Flooding;
- Public emergencies;
- Government restrictions; or
- Other force majeure events.
Kapari.shop will make reasonable efforts to notify affected customers and propose an appropriate revised timeline or alternative solution.
27. Complaints
Customers may submit complaints through the contact details published on the Kapari.shop website.
A complaint should include the order number, description of the issue and any relevant supporting evidence.
Kapari.shop will acknowledge and investigate complaints within a reasonable period and will aim to resolve them fairly and professionally.
28. Privacy
Kapari.shop may collect and process customer information necessary to prepare quotations, communicate with customers, process orders, arrange payments and deliveries, maintain records and provide customer support.
Customer information will be handled in accordance with our Privacy Policy and applicable Botswana data protection requirements.
29. Governing Law
These Terms and Conditions are governed by the laws of the Republic of Botswana.
The parties should first attempt to resolve any disagreement through good-faith discussions.
Where a dispute cannot be resolved directly, either party may pursue the remedies available under Botswana law.
30. Changes to These Terms
Kapari.shop may update these Terms and Conditions from time to time.
The version applicable to an order will ordinarily be the version published or provided to the customer when the order was confirmed.
Updated Terms and Conditions will take effect from the date stated at the top of this page.
